Terms & Conditions
Effective Date: 20th August 2026 | Last Updated: 20th August 2026
1. Introduction
Welcome to IncuX, an incubation management software platform developed and provided by Wilyfox Media Co. (“Wilyfox”, “we”, “our” or “us”).
These Terms & Conditions (“Terms”) govern access to and use of:
- the IncuX public website;
- IncuX demonstration environments;
- IncuX software applications;
- white-label or customised deployments of IncuX;
- dashboards, modules and features made available through IncuX;
- APIs, integrations and communication functionality;
- associated support and implementation services; and
- other services made available in connection with IncuX.
IncuX is designed for incubation centres, accelerators, universities, innovation hubs, government startup missions, startup ecosystem organisations and other authorised institutions to digitise and manage their operational workflows.
By accessing or using IncuX, creating or using an authorised account, accessing a demonstration environment, or otherwise using services made available through IncuX, you agree to comply with these Terms.
2. About IncuX
IncuX is an incubation management software platform developed and maintained by:
3. Scope of the Platform
Depending on the deployment, subscription, configuration, organisation requirements and modules enabled, IncuX may provide functionality relating to areas such as startup onboarding, programs, mentors, investors, infrastructure, attendance, billing, compliance, documents, grants, analytics, workflow automation, and APIs.
Not every IncuX deployment necessarily includes every feature or module. Availability depends on commercial agreements, technical configurations, and client requirements.
4. Client-Specific Deployments
IncuX is primarily designed to be deployed for individual incubation centres or institutions. Access to one organisation's IncuX environment does not provide access to another organisation's environment unless multi-centre functionality is specifically requested and enabled.
5. White-Label Deployments
IncuX may be provided as a configurable or white-label platform under the client's own name, logo, domain, email identity, and invoice headers. Customising the platform does not transfer ownership of the underlying IncuX technology, source code, or intellectual property unless expressly agreed otherwise in writing.
6. Relationship Between Wilyfox and Client Organisations
Wilyfox provides the technology infrastructure underlying IncuX. Client organisations independently determine user access, enabled modules, workflows, permissions, and operational decisions. Wilyfox does not automatically become responsible for client operational or financial decisions.
7. Book a Demo
Submitting a Book a Demo request does not create an operational account, customer relationship, or guarantee software access, pricing, or implementation timelines.
8. Demonstration Access
Temporary demo environments use synthetic sample data and are intended solely for product evaluation. Users must not store production or confidential personal data in demo environments.
9. No Guarantee That Demo Equals Final Deployment
The final scope of a client deployment is determined by formal written commercial agreements (proposal, quotation, statement of work, subscription plan). Demonstrated capabilities do not guarantee inclusion in every commercial deployment.
10. User Accounts
Users must provide accurate information when creating accounts and must not impersonate others, share credentials without authorisation, or attempt to circumvent authentication controls.
11. Roles and Permissions
IncuX enforces role-based access control (Apex Admin, Center Admin, Finance, Operations, Startup Admin, Startup Employee, Mentor, Investor). Users must not bypass permissions or access data outside their assigned role.
12. Client Administrator Responsibilities
Client administrators are responsible for user creation, role assignment, permission governance, workflow settings, integration setup, and regularly auditing active user accounts.
13. Account Security
Users are responsible for keeping credentials confidential, securing access devices, logging out from shared computers, and promptly reporting suspected credential compromise.
14. Acceptable Use
Users must use IncuX only for legitimate operational purposes. Prohibited activities include violating law, fraud, impersonation, malware distribution, unauthorized vulnerability probing, scraping restricted data, and falsifying audit or operational records.
15. Prohibited Technical Activities
Users must not reverse engineer, decompile, attempt to extract source code, bypass security mechanisms, create derivative works based on IncuX, or perform automated vulnerability scanning without written authorization.
16. Client Data
Information entered into a deployment remains subject to the rights of the client organisation. Wilyfox does not claim ownership of underlying client business data processed through IncuX.
17. Responsibility for Client Data
The client organisation is responsible for ensuring that uploaded data is collected lawfully, accurate, and made available only to authorised users.
18. Confidential Information
Users must treat startup, founder, financial, compliance, and IP records accessed through IncuX as confidential and not disclose them outside authorized operational purposes.
19. Documents and File Uploads
Users must ensure uploaded documents do not contain malicious code, infringe copyright, or violate privacy restrictions. Wilyfox may impose file size and storage limits.
20. Infrastructure and Occupancy Management
IncuX displays facility allocation records as entered. The client organisation remains responsible for physical facility safety, space allocation, and enforcing access policies.
21. Attendance and Access Control
The client organisation determines the lawfulness of using QR, NFC, or biometric attendance integrations. Wilyfox does not guarantee uninterrupted operation of third-party hardware.
22. Financial and Billing Functionality
IncuX is an operational software tool and does not constitute professional tax or accounting advice. Client organisations remain responsible for verifying financial ledgers and compliance.
23. Payments
Online payments are processed through third-party gateways. Wilyfox does not store full credit card details. Gateway or banking network failures are outside Wilyfox's control.
24. Communications
Client organisations are responsible for ensuring email, SMS, and WhatsApp messages sent via IncuX comply with applicable telecommunications and messaging consent laws.
25. Third-Party Communication Providers
Messaging delivery depends on third-party service providers (e.g. Authkey for SMS/WhatsApp). Delivery speeds and success rates depend partly on telecom networks.
26. API Credentials
API keys and SMTP passwords stored in IncuX are encrypted. Only authorised administrators should configure credentials and ensure valid usage permissions.
27. Third-Party Integrations
Third-party services (gateways, SMS providers, AI APIs) operate independently and may change pricing or availability. Wilyfox cannot guarantee external API uptime.
28. Artificial Intelligence Features
AI assistance is designed to aid operational workflows. Users must independently verify AI output before relying on it for high-impact legal, financial, or governance decisions.
29. Startup Evaluation and Selection
IncuX facilitates application workflows. The incubation centre—not Wilyfox—is responsible for evaluation, admission, funding, and grant decisions.
30. Mentor and Investor Functionality
Wilyfox does not guarantee mentor availability, funding outcomes, or investment decisions resulting from interactions facilitated on the platform.
31. Reports and Analytics
Management dashboards depend on source data completeness. Users should verify data prior to relying on reports for material strategic decisions.
32. Intellectual Property
All intellectual property rights in IncuX, source code, application logic, and design systems belong exclusively to Wilyfox Media Co. Client content remains client property.
33. IncuX and Wilyfox Branding
"IncuX" and "Wilyfox Media Co." branding assets remain company property. Users may not claim product ownership without explicit written agreement.
34. Licence to Use IncuX
Wilyfox grants a limited, non-exclusive, non-transferable, revocable licence to use IncuX for authorized internal operations during the active subscription period.
35. Subscription, Fees and Commercial Terms
Commercial fees (licence, implementation, hosting, support) are governed by specific client quotations and proposals, which supersede general website text.
36. Taxes
Quoted prices are exclusive of GST or applicable statutory taxes unless explicitly stated otherwise in commercial agreements.
37. Changes to Features
Wilyfox continuously improves IncuX and may update interfaces, workflows, security, and underlying architecture as part of ongoing product upgrades.
38. Maintenance
System updates or emergency maintenance may occasionally cause brief downtime. Wilyfox endeavours to schedule maintenance during low-traffic periods.
39. Availability
Wilyfox aims for high platform uptime, but uninterrupted availability cannot be guaranteed due to external hosting, network, or security dependencies.
40. Support
Technical support assistance is provided according to the client's active subscription plan and does not automatically include custom software development.
41. Custom Development
Custom software features require formal technical evaluation, separate scoping, commercial agreements, and agreed implementation timelines.
42. Client Responsibilities
Clients are responsible for accurate requirements, designating administrators, user access management, credential protection, and legal data compliance.
43. Backups and Business Continuity
Wilyfox maintains system backup procedures, but clients should maintain independent record retention procedures where required by law.
44. Privacy
Platform use is governed by the IncuX Privacy Policy. Client privacy notices apply to white-label deployments.
45. Security
Technical security measures include encrypted credentials, password hashing, role-based access controls, CSRF protection, and server-side authorization.
46. Security Incidents
Users must promptly report suspected credential compromise or vulnerabilities to Wilyfox and refrain from public disclosure prior to investigation.
47. Suspension of Access
Wilyfox or client administrators may suspend access in event of security compromise, terms violation, non-payment, or contract termination.
48. Termination
Access ends upon subscription expiry, contract termination, or account deactivation. Historical audit and financial data may be retained for legal compliance.
49. Export and Transition
Clients may export data supported by their active plan. Custom data migration services are available under separate commercial agreements.
50. No Professional Advice
IncuX output does not constitute legal, tax, accounting, or investment advice. Organisations should consult professional advisers independently.
51. No Guarantee of Business Outcomes
Use of IncuX does not guarantee startup success, funding, grant approvals, or specific financial outcomes. Actual performance depends on client execution.
52. Third-Party Content and Services
Wilyfox is not responsible for independent third-party services or external website content linked within the application.
53. Disclaimer of Warranties
IncuX is provided subject to applicable commercial agreements without warranties beyond those explicitly stated, to the extent permitted by law.
54. Limitation of Liability
Wilyfox will not be liable for indirect, consequential, or punitive damages. Specific liability terms in signed client contracts supersede these general terms.
55. Indemnity
Users agree to indemnify Wilyfox against claims resulting from unlawful platform use or terms violation, subject to applicable client contracts.
56. Force Majeure
Wilyfox is not liable for performance failures resulting from natural disasters, government actions, telecom outages, cyber attacks, or power disruptions.
57. Changes to These Terms
Wilyfox may update these Terms to reflect technical updates or legal changes. Continued use of IncuX following revised Terms constitutes acceptance.
58. Relationship With Separate Agreements
In event of conflict between these public terms and a signed client SaaS or licence agreement, the signed agreement governs that commercial relationship.
59. Severability
If any provision is held unenforceable, remaining provisions continue in full effect.
60. No Waiver
Failure to enforce a term immediately does not constitute a waiver of rights.
61. Assignment
Users may not transfer platform rights without authorization. Wilyfox may transfer rights as part of corporate restructuring or merger.
62. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Disputes are subject to the jurisdiction of competent courts in Bhubaneswar, Odisha, India.
63. Grievances and Disputes
Users are encouraged to contact Wilyfox to resolve concerns before formal proceedings. Privacy issues follow the Privacy Policy grievance process.
